M&T Bank Corporation Receives Approval to Acquire Partners Trust Financial Group, Inc.

M&T Bank Corporation ("M&T") announced that all regulatory and stockholder approvals have been received in connection with its proposed acquisition of Partners Trust Financial Group, Inc. ("Partners Trust") .

M&T received approval from the New York State Banking Department last week, having received approval from the Board of Governors of the Federal Reserve System earlier this month. In addition, Partners Trust stockholders approved the merger on November 21, 2007.

It is anticipated that the merger will be completed on November 30, 2007. Following the merger, all Partners Trust Bank branches and ATMs will carry the M&T Bank name, and Partners Trust Bank customer accounts will become M&T Bank accounts.

Under the terms of the merger agreement, Partners Trust stockholders will receive $12.50 for each share of common stock they own. Stockholders may elect to receive the consideration in shares of M&T common stock or cash although, in the aggregate, 50% of the Partners Trust shares must be exchanged for M&T common stock and 50% for cash. Those elections will be subject to allocation and proration if either stock or cash is oversubscribed. The election deadline for receipt by the exchange agent of all required documents is no later than 5:00 p.m. EST on Friday, November 30, 2007.

Partners Trust is the holding company for Partners Trust Bank, headquartered in Utica. Partners Trust Bank has 33 Central and Southern New York locations with $3.6 billion in assets.
